Meditation and mental health platform Headspace is set to be acquired by digital healthcare company Sword Health in an all-cash deal reportedly worth between $200 million and $300 million.<\/p>\n\n\n\n
The proposed acquisition was revealed through regulatory filings and is expected to close on September 14, 2026. Headspace\u2019s parent company, OrangeDot, will be acquired by Sword Health, although neither company has yet formally announced the transaction.<\/p>\n\n\n\n
The reported price is particularly notable because Headspace was valued at around $3 billion following its 2021 merger with digital mental health company Ginger.<\/p>\n\n\n\n
Axios reports that Sword Health will pay between $200 million and $300 million for Headspace, meaning the company could be changing hands at around 90% below its previous peak valuation.<\/p>\n\n\n\n
Headspace began life as a meditation and mindfulness app but has expanded significantly into the wider mental health market. It now provides therapy, behavioural health coaching, wellness content and employee assistance services, while continuing to operate its consumer subscription app.<\/p>\n\n\n\n
Sword Health originally built its business around virtual physical therapy and musculoskeletal care but has increasingly expanded into other areas of digital healthcare, including mental health, women’s health and cardiometabolic care.<\/p>\n\n\n\n
The acquisition would significantly increase Sword’s presence in mental health while giving it access to one of the best-known consumer wellness brands in the world.<\/p>\n\n\n\n
Headspace is expected to continue operating its existing services following the acquisition. Regulatory documents suggest there could be some reductions in corporate roles where the two companies have overlapping functions, although clinical services are not expected to be materially affected.<\/p>\n\n\n\n
The deal is another sign of how dramatically valuations across the technology and digital health sectors have changed since their 2020\u20132021 peak.<\/p>\n\n\n\n
