Downtown would fall under the scope of UMG\u2019s Virgin Music Group, and now its co-CEOs Nat Pastor and JT Myers are fighting back.&nbsp;<\/p>\n\n\n\n<p>Coming from an <a href=\"https:\/\/musically.com\/2025\/07\/04\/full-memo-virgin-music-co-ceos-defend-downtown-music-plans\/\" target=\"_blank\" rel=\"noreferrer noopener\">internal memo<\/a> that quickly made its way to the public domain, according to <a href=\"https:\/\/musically.com\/2025\/07\/04\/virgin-music-co-ceos-slam-fictions-and-falsehoods-around-downtown-deal\/\" target=\"_blank\" rel=\"noreferrer noopener\">Music Ally<\/a>, the duo countered against what they called \u201cfictions and falsehoods\u201d being circulated about the deal.<\/p>\n\n\n\n<h3>What\u2019s the criticism?<\/h3>\n\n\n\n<p>The deal has been under fire from many in the industry, none more noticeable than indie industry body IMPALA, which has raised concerns about what it sees as a growing threat to competition for indies in the music industry.<\/p>\n\n\n\n<p>IMPALA first <a href=\"https:\/\/routenote.com\/blog\/impala-calls-to-block-universals-acquisition-of-downtown-music\/\" target=\"_blank\" rel=\"noreferrer noopener\">spoke out back in February<\/a>, warning that the acquisition could give UMG an unfair level of dominance in the industry- something that \u201cwould not be tolerated in any other market.\u201d<\/p>\n\n\n\n<p>A <a href=\"https:\/\/routenote.com\/blog\/european-commission-launches-formal-investigation-into-umgs-775m-downtown-deal\/\" target=\"_blank\" rel=\"noreferrer noopener\">formal investigation<\/a> by the European Commission is now underway.<\/p>\n\n\n\n<figure class=\"wp-block-embed is-type-wp-embed is-provider-routenote-blog wp-block-embed-routenote-blog\"><div class=\"wp-block-embed__wrapper\">\n<blockquote class=\"wp-embedded-content\" data-secret=\"vZFAazc1FN\"><a href=\"https:\/\/routenote.com\/blog\/european-commission-launches-formal-investigation-into-umgs-775m-downtown-deal\/\">European Commission launches formal investigation into UMG\u2019s $775M Downtown deal<\/a><\/blockquote><iframe class=\"wp-embedded-content\" sandbox=\"allow-scripts\" security=\"restricted\" style=\"position: absolute; clip: rect(1px, 1px, 1px, 1px);\" title=\"&#8220;European Commission launches formal investigation into UMG\u2019s $775M Downtown deal&#8221; &#8212; RouteNote Blog\" src=\"https:\/\/routenote.com\/blog\/european-commission-launches-formal-investigation-into-umgs-775m-downtown-deal\/embed\/#?secret=vZFAazc1FN\" data-secret=\"vZFAazc1FN\" width=\"600\" height=\"338\" frameborder=\"0\" marginwidth=\"0\" marginheight=\"0\" scrolling=\"no\"><\/iframe>\n<\/div><\/figure>\n\n\n\n<h3>Virgin&#8217;s response<\/h3>\n\n\n\n<p>So, what did the memo pushback against? The letter directly addressed three main areas of criticism:<\/p>\n\n\n\n<h4>Indie fears<\/h4>\n\n\n\n<p>One of the biggest criticisms centers around the unfair advantage it could give UMG. IMPALA argues that VMG could feed client data to UMG who could use it to gain a competitive edge. Additionally, they could shut down other major assets included in the deal such as FUGA (a major B2B music distributor) and CD Baby (a digital distribution service), which IMPALA would reduce the competitive options available for indies.&nbsp;<\/p>\n\n\n\n<figure class=\"wp-block-embed is-type-wp-embed is-provider-routenote-blog wp-block-embed-routenote-blog\"><div class=\"wp-block-embed__wrapper\">\n<blockquote class=\"wp-embedded-content\" data-secret=\"Lu9sIxPPf9\"><a href=\"https:\/\/routenote.com\/blog\/impala-calls-to-block-universals-acquisition-of-downtown-music\/\">IMPALA calls to block Universal&#8217;s acquisition of Downtown Music<\/a><\/blockquote><iframe class=\"wp-embedded-content\" sandbox=\"allow-scripts\" security=\"restricted\" style=\"position: absolute; clip: rect(1px, 1px, 1px, 1px);\" title=\"&#8220;IMPALA calls to block Universal&#8217;s acquisition of Downtown Music&#8221; &#8212; RouteNote Blog\" src=\"https:\/\/routenote.com\/blog\/impala-calls-to-block-universals-acquisition-of-downtown-music\/embed\/#?secret=Lu9sIxPPf9\" data-secret=\"Lu9sIxPPf9\" width=\"600\" height=\"338\" frameborder=\"0\" marginwidth=\"0\" marginheight=\"0\" scrolling=\"no\"><\/iframe>\n<\/div><\/figure>\n\n\n\n<p>Virgin\u2019s response? That simply wouldn\u2019t make any sense. The co-CEOs stated they would not&nbsp; \u201cexploit Downtown\u2019s customer data to gain a competitive edge for UMG\u201d because doing so would damage the trust they\u2019ve built with clients- only hurting themselves in the long run.<\/p>\n\n\n\n<p>They also clarified that Downtown would continue to operate under Virgin Music Group, so the acquisition wouldn\u2019t eliminate options for indie artists or labels.<\/p>\n\n\n\n<h4>Marker share myths<\/h4>\n\n\n\n<p>Another area of concern is UMG\u2019s increasing market dominance. Impala\u2019s Helen Smith evidenced data that UMG\u2019s market share in Europe has grown 18% since 2012, in a recent <a href=\"https:\/\/musically.com\/2025\/06\/25\/unimaginable-in-any-other-sector-impalas-helen-smith-on-planned-downtown-acquisition\/\" target=\"_blank\" rel=\"noreferrer noopener\">Music Ally article<\/a>.<\/p>\n\n\n\n<p>Pastor and Myers dismissed this outright. In reality, UMG\u2019s share hasn\u2019t grown materially, while the independent sector has.<\/p>\n\n\n\n<h4>Personal criticism<\/h4>\n\n\n\n<p>Beyond business concerns, there\u2019s also been personal criticism levelled at their employees. Critics have accused Virgin Music of being \u201c<a href=\"https:\/\/www.musicbusinessworldwide.com\/4-observations-on-downtowns-775-million-sale-to-universal-music-group-virgin-music-group\/\" target=\"_blank\" rel=\"noreferrer noopener\">wolves behind the cape<\/a>\u201d- ultimately helping the major label despite being indie in name.<\/p>\n\n\n\n<p>The co-heads called the comments &#8220;insulting&#8221; and \u201coffensive\u201d. In truth, this criticism may seem strong given that many of those working within the independent branches of a major label are ultimately still trying to ensure the independent sector thrives. Instead, they are simply &#8220;falsehoods being spread by those who are willing [to] say anything to hurt the chances of this deal happening.\u201d<\/p>\n\n\n\n<h3>What\u2019s next?<\/h3>\n\n\n\n<p>While the pushback of criticism provides an insight into VMG\u2019s thinking, the deal is still under regulatory review for now.
